Oct 26 (Reuters) – HealthSpan Partners, a supporting organization of not-for-profit healthcare system Bon Secours Mercy Health, will take Surgery Partners private for about $5.7 billion, the surgical facility operator said on Monday.
The deal values Surgery Partners at $23.50 per share, implying a premium of 49% to the stock’s last close.
The company’s shares were halted in premarket trading.
Private equity group Bain Capital, which has been a minority shareholder since 2017 and owns 39% of Surgery Partners, has agreed to vote all of its shares in the company in favor of the transaction, the surgical facility operator said.
The deal ends a two-year strategic review during which Surgery Partners drew interest from potential buyers including Bain Capital, whose bid to take the company private last year was rebuffed.
The transaction is expected to close in the first quarter of 2027.
