Two Sidus Space directors resign, citing governance disagreements

Oct 9 (Reuters) – Satellite technology firm Sidus Space said on Friday two directors had resigned from its board, ​citing disagreements over governance and management ‌practices.

The company said it disagreed with the assertions made by the directors in their resignation letters. Here are some details:

• Tiffany Norwood ‌and ​Kelle Wendling resigned from ⁠Sidus Space’s board effective ⁠October 6, according to a regulatory filing.

• Norwood, chair of the audit committee and a member of the corporate ​governance and nominating committee, cited “a number of concerns and disagreements”, including the ⁠handling of a confidential ⁠complaint brought to her and ​other committee chairs.

• Wendling, a member of the ​audit, compensation, and corporate governance and ‌nominating committees, said she resigned after considering matters related to the company’s management and governance.

• Sidus Space included both directors’ ⁠resignation letters in the regulatory filing.

• “I have previously raised concerns regarding these matters through the ⁠appropriate Board ‌and committee processes, and those ⁠concerns remain unresolved,” Wendling said ​in ‌her letter.

• The company said ​it had ⁠notified Norwood and Wendling of its disclosures and given them an opportunity to state whether they agreed with its response.
